By accessing or using ProfitRunway ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

ProfitRunway provides AI-powered financial health reporting for small businesses. The Service connects to your accounting software (QuickBooks, Xero, or FreshBooks) via OAuth to analyze your financial data and generate monthly health score reports.

Service tiers include:

• Free ($0/month) - Basic features, limited reports
• Runway ($19/month) - Enhanced reporting and insights
• Pro ($39/month) - Full access to all features

3. Account Registration

To use the Service, you must:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Share your account with others
• Reverse engineer or copy any part of the Service

5. Subscription and Payments

Paid subscriptions are billed monthly via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You may cancel at any time, but no refunds are provided for partial months.

We reserve the right to change pricing with 30 days notice to existing subscribers.

6. Data Access and Security

You grant us permission to access your financial data from connected accounting platforms solely to provide the Service. We use industry-standard security measures to protect your data. See our Privacy Policy for details.

7. Accountant Referral Program

Accountants who refer clients earn 20% lifetime commission on subscription revenue. Commissions are paid monthly via Stripe. We reserve the right to terminate partnerships for violations of these Terms.

8. Intellectual Property

The Service, including all content, features, and functionality, is owned by ProfitRunway and protected by copyright, trademark, and other laws. You may not copy, modify, or distribute any part of the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee accuracy of financial analyses or projections. ProfitRunway is not a substitute for professional accounting or financial advice.

10. Limitation of Liability

In no event shall ProfitRunway be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

11. Indemnification

You agree to indemnify and hold harmless ProfitRunway from any claims arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account immediately, without prior notice, for any violation of these Terms. Upon termination, your right to use the Service ceases immediately.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective when posted. Your continued use of the Service constitutes acceptance of modified Terms.

14. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law provisions.
